1.Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the Bloxx website at itsbloxx.com, the Bloxx application at app.itsbloxx.com, and any related services (together, the “Service”), provided by Bloxx, operated by Sidequester (“Bloxx”, “we”, “us” or “our”).
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2.The Service
Bloxx is an AI-native content management and search-optimisation platform that helps you build, publish, and optimise websites, and provides analytics on how those sites perform across search engines and AI answer engines. We may add, change, or remove features of the Service at any time. We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free.
3.Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you confirm that you meet these requirements and that the information you provide is accurate.
4.Accounts and security
Some parts of the Service require an account. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us promptly at the contact address below if you suspect any unauthorised use. We may suspend or terminate an account that we reasonably believe has been compromised or used in breach of these Terms.
5.Acceptable use
You agree not to use the Service to:
- break any law, or infringe the rights of others, including intellectual property and privacy rights;
- publish or transmit content that is unlawful, defamatory, misleading, harmful, or that you do not have the right to use;
- upload malware, or attempt to gain unauthorised access to the Service, its infrastructure, or other users’ data;
- interfere with, disrupt, or place an unreasonable load on the Service;
- scrape, copy, or resell the Service or its underlying technology except as expressly permitted; or
- use the Service to send spam or to deploy deceptive search or content practices that violate the policies of search engines or other platforms.
We may remove content or suspend access if we reasonably believe these Terms have been breached.
6.Your content
You retain all ownership of the content, data, and materials you create, upload, or publish through the Service (“Your Content”). You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely to the extent needed to operate and provide the Service to you.
You are responsible for Your Content and for making sure you have the rights needed to use it and that it does not breach these Terms or any law. You are responsible for keeping your own backups of anything important to you.
7.Our intellectual property
The Service, including the Bloxx platform, software, design, and the Bloxx name and logo, is owned by Bloxx and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we and our licensors keep all right, title, and interest in the Service. You may not copy, modify, distribute, or reverse-engineer any part of the Service except as permitted by law.
8.Fees and payment
Some parts of the Service are paid. Where fees apply, they will be set out in a separate order, plan, or agreement between us. Unless that agreement says otherwise, fees are payable in advance, are non-refundable except where required by law, and are exclusive of any applicable taxes. If we change our pricing, we will give reasonable notice of any change that affects an active subscription.
9.Third-party services
The Service integrates with, and depends on, third-party services such as hosting, analytics, and infrastructure providers. Your use of those services may be subject to their own terms and policies, and we are not responsible for third-party services we do not control.
10.Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Search-engine rankings, AI-answer citations, traffic, and other outcomes depend on many factors outside our control. We do not warrant or guarantee any specific ranking, visibility, traffic, or business result from using the Service.
11.Limitation of liability
Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, to the fullest extent permitted by law we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service and these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred pounds (£100).
12.Indemnification
You agree to indemnify and hold Bloxx harmless from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms or of any law or third-party right.
13.Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnity) will continue to apply.
14.Changes to these terms
We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page and, where the change is significant, take reasonable steps to notify you. Your continued use of the Service after an update means you accept the revised Terms.
15.Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that this does not deprive you of any protection you have as a consumer under the mandatory law of your country of residence.
